HORSE LOVERS MEDIA — EXCLUSIVE CONTENT LICENSING AGREEMENT

This Exclusive Content Licensing Agreement (“Agreement”) is entered into by and between Horse Lovers Media(hereafter referred to as “Horse Lovers Media,” “HLM,” or “Licensee”) and the undersigned individual or entity submitting content (hereafter referred to as “Licensor”). By submitting content to Horse Lovers Media or any platform owned or operated by Horse Lovers Media, the Licensor agrees to the following terms:

1. Definitions

1.1 The following definitions apply to this Agreement:

Agreement: This Content Licensing Agreement between Horse Lovers Media and the Licensor.
Content: Any media submitted by the Licensor, including but not limited to videos, photos, audio, graphics, and written material.
Content Requirements: The quality and legal standards described in Section 2.
Data Protection Legislation: All applicable privacy and data protection laws in the EU, US, UK, and worldwide.
Derivative Works: Any transformative, edited, re-mixed, or newly developed works by Horse Lovers Media using the submitted Content.
Horse Lovers Media (HLM): All platforms, brands, networks, companies, or subsidiaries operating under Horse Lovers Media, Horse Lovers Network, or related commercial entities.
Intellectual Property Rights: All copyrights, trademarks, patents, service marks, and related rights.
Permitted Use: The rights granted to HLM to use, copy, distribute, monetize, promote, modify, or license the Content across any media format.
Personal Data: Any information identifying an individual.
Territory: Worldwide, unless explicitly restricted by written agreement.

2. Content Requirements

2.1 All Content submitted to Horse Lovers Media must:

Be original and of acceptable quality.
Not contain identifiable individuals (especially minors) unless Licensor has secured written permission or legal guardian consent.
Not infringe any copyright, trademark, or other intellectual property rights.
Not contain inappropriate, illegal, defamatory, harmful, violent, discriminatory, or pornographic material.
Not violate the privacy rights of any person or entity.

3. Grant of Exclusive License

3.1 By submitting Content, the Licensor grants Horse Lovers Media an exclusive, worldwide, royalty-free, perpetual, irrevocable, transferable, and sub-licensable license to:

Use, copy, modify, re-edit, publish, republish, distribute, promote, and monetize the Content.
Create Derivative Works and exploit them commercially.
Allow partners, affiliates, media networks, sponsors, and distribution channels to use the Content.

3.2 The Licensor retains copyright ownership but acknowledges that Horse Lovers Media receives exclusive usage rights for all editorial, commercial, and promotional purposes. 3.3 Horse Lovers Media’s associated pages and partners include the Horse Lovers Network, which comprises multiple large-scale social channels and media outlets across Facebook, Instagram, TikTok, YouTube, and other platforms.

4. Exclusivity

4.1 The Licensor represents that:

The Content is not subject to any exclusive agreement with another party.
The Licensor will not license the Content exclusively elsewhere while this Agreement remains in effect.

4.2 Any existing non-exclusive agreements must be disclosed prior to submission.

5. Warranties and Representations

The Licensor agrees to indemnify and hold Horse Lovers Media harmless from any claims related to the Content. The Licensor warrants that:

They are the sole owner of the Content.
The Content is original and does not infringe third-party rights.
All necessary consents for individuals appearing in the Content have been legally obtained.
No laws, privacy rights, or intellectual property rights are violated by the Content.

6. Data Protection

6.1 Horse Lovers Media processes Personal Data in compliance with its Privacy Policy and applicable laws. 6.2 Licensor is responsible for ensuring all Personal Data included in the Content has proper consent. 6.3 If a person featured in the Content withdraws consent, the Licensor must immediately notify Horse Lovers Media.

7. Term and Termination

7.1 This Agreement becomes effective automatically upon submission of the Content and remains in force perpetuallyunless terminated by Horse Lovers Media. 7.2 Horse Lovers Media may terminate the Agreement immediately if the Licensor breaches any provision.

8. Rights to Modify or Remove Content

Horse Lovers Media reserves the right to:

Edit, alter, modify, or adapt the Content
Remove the Content from its platforms at any time
Repost or repurpose the Content on any platform within its network

All at Horse Lovers Media’s sole discretion.
